Please read the following Terms of Use before using www.nhor.org, the website of National Hall of Records, LLC, an Oklahoma limited liability company, ("NHOR Website").

1. Acceptance. This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the NHOR Website. You agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the NHOR Website) or you are a registered "Member" (which means that you have registered with NHOR). The term "User" refers to a Visitor or a Member. Please read this Agreement carefully. If you do not agree with it, you should leave the NHOR Website and discontinue use of all Services immediately.

2. Modification. NHOR may modify this Agreement from time to time and such modification shall be effective upon posting by NHOR on the www.nhor.org Website. You agree to be bound to any changes to this Agreement when you use NHOR Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

3. Public Information. NHOR grants you permission to view, browse, submit content, upload photographs and print pages of this Website in accordance with these Terms of Use and solely for your own personal, non-commercial use. Please choose carefully the information you post on NHOR. All content and photographs are made public for others to view.

4. Content. The NHOR Website allows Members and others to post, upload, display, publish, or otherwise submit material to the Website, including text, photographs, images, information, articles, illustrations, lyrics, audio, and videos for online tributes, obituaries, death notices and Guest Book entries.

You agree that use of this Website is subject to all applicable local, state, federal and international laws and regulations. If you become aware of misuse of the NHOR Services by any person, please contact NHOR immediately at support@nhor.org.

NHOR reserves the right, in its sole discretion, to reject, refuse to post or remove any posting or photographs submitted or uploaded by you, or to restrict, suspend, or terminate your access to all or any part of the NHOR Services at any time, for any or no reason, with or without prior notice, and without liability. NHOR expressly reserves the right to remove your content and photographs and/or restrict, suspend, or terminate your access to any part of NHOR services if NHOR determines, in its sole discretion, that you pose a threat to NHOR and/or anyone else.

5. Prohibited Use. You agree not to submit any material that:

  1. contains hateful, vulgar, abusive, profane, or sexually explicit language, epithets or slurs, text or illustrations in poor taste, any attacks of a personal, sexual, racial or religious nature, or expressions of bigotry, racism, discrimination or hate; or physical harm of any kind against any group or individual;
  2. harasses or advocates harassment of another person; discloses any personal identifying information relating to a Minor, harms or is inappropriate for minors to view;
  3. exploits people in a sexual or violent manner;
  4. contains nudity, violence, or offensive subject matter or contains a link to an adult website;
  5. solicits personal information from anyone under 18;
  6. is threatening, disparaging, false, misleading, deceptive, fraudulent, inaccurate, or unfair, contains gross exaggeration or unsubstantiated claims, violates the privacy rights of any third party, contains any actionable statement, or tends to mislead or reflect unfairly on any other person, business or entity;
  7. promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
  8. involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," "spamming" or any other unsolicited message or material;
  9. contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
  10. furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
  11. solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
  12. includes any photograph of another person that you have posted without that person's consent; or
  13. criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets, contains viruses or other harmful, disruptive or destructive files;
  14. advertises, promotes or offers to trade any goods or services; is intended primarily to promote a cause or movement, whether political, religious or other; constitutes, promotes or encourages illegal acts, the violation of any right of any individual or entity, the violation of any local, state, national or international law, rule, guideline or regulation, or otherwise creates liability; or
  15. is not otherwise in compliance with these Terms of Use.

NHOR reserves the right to investigate and take appropriate legal action against anyone who, in NHOR's sole discretion, violates this provision, including without limitation, removing the offending communication from the NHOR services, terminating the Membership of such violators, and/or referring and cooperating with local, state, federal and international law enforcement authorities.

6. Users. By using the NHOR services, you represent and warrant that you are the sole owner and creator all information you submit and upload, you have the right to submit the material to this site, it is truthful and accurate, the material is not protected by copyright law or you have permission from the copyright owner to post the material on this site; and your use of the NHOR services does not violate any applicable law or regulation, and that you are 13 years of age or older. Your information may be deleted and your membership may be terminated without warning, if we believe that you are under 13 years of age.

Some services offered on the NHOR Website may require you to register and create an account. During this process, you will also be asked to choose a password and to provide a valid email address. You are entirely responsible for maintaining the confidentiality of your password. You agree not to disclose your password to any third party. You agree to notify NHOR immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account. You agree to: provide true, accurate, current and complete information about yourself as listed on the registration form. If you provide any information that is untrue, inaccurate, not current or incomplete, or NHOR has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, NHOR has the right to suspend or terminate your account and refuse any and all current or future use of the service. You may terminate your Membership at any time, for any reason, by emailing support@nhor.org. NHOR may terminate your membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect.

7. Fees and Payments. You acknowledge that NHOR reserves the right to charge for some of the Services and to change its fees from time to time in its discretion. If NHOR terminates your membership because you have breached the agreement, you shall not be entitled to a refund. Billing will be processed immediately upon you signing up to sponsor a record unless you selected the One Week Trial which you will be billed on the 7th day after your initial sign up date unless you have cancelled your sponsorship as described below in Section 8.

8. Cancellation of a Sponsored Record. Once you sponsor a record and select to Pay Now you are given access to the record and all information and services associated with the record and no refund will be provided. If you select The One Week Trial it will begin on the day you register and sponsor the record, which is also the day you are given access to the record and all information and services associated with the record. Cancellations during the one week trial may be made by phone by calling us at 1-888-667-6467 and speak to a customer support representative or send an email to cancel@nhor.org and provide the same information that you provided when you signed up to sponsor the record (See below).

The name of the person you sponsored
Your Phone number

Your cancellation must be received by end of business (4:00 PM CST) on the 7th subscription day or you will be billed and you shall not be entitled to a refund.

9. Proprietary Rights. NHOR does not claim any ownership rights in the text, files, images, photographs, video, sounds, music, or any other materials (collectively, "content") that you post to the NHOR Website. By displaying or publishing ("posting") any content on or through the NHOR Website, you hereby grant to NHOR a limited license to use publicly and display on and through the NHOR Website.

You represent and warrant that: you own the content posted by you on or through the NHOR Services or otherwise have the right to grant the license set forth in this section, and the posting of your content on or through the NHOR Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any content posted by you to or through the NHOR Services. You agree to indemnify and hold NHOR harmless from and against any and all actions, suits, proceedings, claims, demands, damages, liabilities, losses, assessments, judgments, deficiencies, costs and expenses, including reasonable attorney's fees, court costs and other expenses of litigation, mediation, arbitration or administrative proceedings, which arise out of or are in any manner connected with, or are claimed to arise out of or be in any manner connected with your use of NHOR's Website.

NHOR may delete any content that in the sole judgment of NHOR violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. NHOR assumes no responsibility for monitoring the NHOR Services for inappropriate content or conduct. If at any time NHOR chooses, in its sole discretion, to monitor the NHOR Services, NHOR nonetheless assumes no responsibility for the content, no obligation to modify or remove any inappropriate content, and no responsibility for the conduct of the User submitting any such content.

You are solely responsible for the content that you post on or through any of the NHOR services. NHOR does not endorse and has no control over the content. Content is not necessarily reviewed by NHOR prior to posting and does not necessarily reflect the opinions or policies of NHOR. NHOR makes no warranties, express or implied, as to the content or to the accuracy and reliability of the content or any material or information that you transmit.

9. Copyright Policy. You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of NHOR to terminate access privileges of any person who repeatedly infringes the copyright rights of others upon receipt of proper notification to NHOR by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the NHOR Website in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

  1. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  2. a description of the copyrighted work that you claim has been infringed;
  3. a description of where the material that you claim is infringing is located on the NHOR Website;
  4. your address, telephone number, and email address;
  5. a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  6. a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. 10. Privacy. Use of the NHOR Website is also governed by our Privacy Policy which is incorporated into this Agreement by reference.

11. Disclaimers. NHOR is not responsible for any incorrect or inaccurate content posted on the NHOR Website or in connection with the NHOR Services, whether caused by Users of the NHOR Services or by any of the equipment or programming associated with or utilized in the NHOR Services. The NHOR Website may contain links to other websites. NHOR is not responsible for the content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by NHOR. When you access these third-party sites, you do so at your own risk. NHOR takes no responsibility for the goods or services provided by links to other websites. NHOR assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. NHOR is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the NHOR services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the NHOR services. Under no circumstances shall NHOR be responsible for any loss or damage, including personal injury or death, resulting from use of the NHOR services, from any content posted on or through the NHOR services, or from the conduct of any visitors of the NHOR Website, whether online or offline. The NHOR services are provided "AS-IS" and as available and NHOR expressly disclaims any warranty of fitness for a particular purpose or non-infringement. NHOR cannot guarantee and does not promise any specific results from use of the NHOR services.

12. Limitation on Liability. IN NO EVENT SHALL NATIONAL HALL OF RECORDS, LLC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF NATIONAL HALL OF RECORDS, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, NATIONAL HALL OF RECORDS, LLC'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO NATIONAL HALL OF RECORDS, LLC FOR THE NATIONAL HALL OF RECORDS, LLC'S SERVICES DURING THE TERM OF MEMBERSHIP.

13. Indemnity. You agree to indemnify and hold NHOR, its subsidiaries, and affiliates, and their respective officers, managers, members, agents and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the NHOR Website in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any content that you post on the NHOR Website or through the NHOR Services results in any claim brought against NHOR.

14. Resolution of Disputes. The parties agree that any dispute, controversy or claim arising out of or related to this Agreement shall be resolved first by negotiations between the parties, and if not resolved by negotiations, then by mediation conducted in Tulsa, Oklahoma by the Oklahoma Mediation/Arbitration Service (or such other mediation service as agreed by the parties). If the dispute is not resolved by mediation, then it shall be resolved by binding arbitration conducted in Tulsa, Oklahoma by the Oklahoma Mediation/Arbitration Service (or such other arbitration service as agreed by the parties). Demand for arbitration must be made no later than the time that such action would be permitted under the applicable Oklahoma statute of limitations. Each party shall pay all of their own mediation and arbitration expenses, including, but not limited to, mediation fees, arbitration fees, attorney's fees, and expert's fees. Judgment upon any award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

15. Other. This Agreement is accepted upon your use of the NHOR Website or any of the NHOR Services and is further affirmed by you entering the site www.nhor.org. This Agreement is governed by the laws of the State of Oklahoma. This Agreement constitutes the entire agreement between you and NHOR regarding the use of the NHOR Services and the NHOR Website. The failure of NHOR to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
